GEFRAN S.P.A. AVVIO DI UN PROGRAMMA DI ACQUISTO DI AZIONI PROPRIE

Provaglio d'Iseo (BS), 9 maggio 2023 – Gefran S.p.A. rende noto al mercato l'avvio in data odierna di un programma di acquisto di azioni proprie, in attuazione della delibera di autorizzazione all'acquisto e disposizione di azioni proprie dell'Assemblea ordinaria dei soci del 21 aprile 2023.

In conformità alla delibera assembleare sopra citata, gli obiettivi del programma sono i seguenti:

• intervenire direttamente o tramite intermediari autorizzati per contenere eventuali movimenti anomali delle quotazioni del titolo e per regolarizzare l'andamento delle negoziazioni e dei corsi legati ad un eccesso di volatilità o di scarsa liquidità degli scambi; gli interventi avverranno senza pregiudizio della parità di trattamento degli azionisti;

• offrire agli azionisti di uno strumento aggiuntivo di monetizzazione degli investimenti.

Le operazioni nell'ambito del programma avverranno con modalità e limiti previsti dalla già menzionata delibera assembleare, e precisamente: l'acquisto e la disposizione, in una o più volte, di un numero di azioni ordinarie della Società rappresentanti al massimo il 10% del capitale sociale (alla data del presente comunicato pari ad un massimo di n. 1.440.000,00 azioni ordinarie del valore nominale di Euro 1,00 ciascuna). L'autorizzazione è concessa per un periodo di 18 mesi dalla data della già menzionata delibera assembleare.

GEFRAN S.P.A. LAUNCHES A BUYBACK PROGRAM

Provaglio d'Iseo (BS), 9 May 2023 – Gefran S.p.A. informs the market of the launch as of today of a buyback program, pursuant to the Ordinary Shareholders' Meeting resolution of 21 April 2023, authorizing the purchase and disposal of own shares.

In compliance with the above mentioned Shareholders' resolution, the goals of the program are the following:

• to act directly or through authorised brokers to limit any irregular movement in trading of the share and to regulate trading performance and runs due to excessive volatility or lack of liquidity in trading; these measures shall be taken without prejudice to the equal treatment of shareholders;

• to offer shareholders an additional tool to monetise investments.

The transactions under the program will take place in accordance with procedures and limits set forth in the aforementioned Shareholders' resolution, and more precisely: the purchase and disposal, in one or more instalments, of a number of ordinary shares in the Company representing a maximum of 10% of the company's share capital (as of the date of this press release, this means a maximum of 1,440,000.00 ordinary shares, with a nominal value of 1.00 Euro each). The authorisation is granted for a period of 18 months from the date of the aforementioned shareholders' resolution.
