GEFRAN S.P.A. ACQUISISCE UNA QUOTA DI MINORANZA DELLA STARTUP ROBOT AT WORK S.R.L.

La società innovativa opera nel mondo delle soluzioni di automazione

Provaglio d'Iseo (BS), 20 dicembre 2023 - Gefran S.p.A., azienda specializzata nella progettazione e produzione di sensori, sistemi e componenti per l'automazione e il controllo dei processi industriali, ha sottoscritto un accordo di investimento per l'acquisizione di una quota di minoranza di Robot at Work S.r.l. (www.robotatwork.it), startup con sede a Rovato (BS).

Fondata nel 2017, RAW è una giovane realtà dinamica e innovativa che svolge attività di progettazione, realizzazione, vendita e installazione di impianti industriali, tra cui celle robotizzate standard, celle collaborative (che prevedono la compresenza di operatore e automazione industriale), controllo visivo e Virtual Commissioning. Acquisita nel 2021 dagli imprenditori Lorenzo e Rossella Codini, che ne mantengono per ora la maggioranza, ha chiuso il bilancio al 31 dicembre 2022 con un fatturato pari ad Euro 3.804.129 ed un utile pari ad Euro 37.509.

L'operazione è stata perfezionata tramite cessione di parte del capitale sociale appartenente ai soci di maggioranza e successivo aumento di capitale, a seguito dei quali Gefran S.p.A. detiene una quota pari al 24,83% di Robot at Work per un corrispettivo totale di Euro 576.000 (corrispettivo versato in denaro, tramite l'utilizzo di mezzi propri). Contestualmente alla firma dell'accordo quadro sono stati sottoscritti i patti parasociali che regoleranno la governance della società.

Marcello Perini, Amministratore delegato del Gruppo Gefran ha così commentato: "Siamo molto soddisfatti di questo accordo che rinforza la partnership con un fornitore strategico per Gefran. Riteniamo che l'accordo sottoscritto genererà valore sia per Gefran, che integrerà verticalmente le proprie capacità aggiungendo quelle distintive di RAW, sia per quest'ultima, che potrà trarre vantaggio dalle possibili sinergie con il Gruppo, mantenendosi al contempo libera di operare sul mercato e perseguire autonomamente le traiettorie di sviluppo delineate dal proprio management".

Gli accordi tra le parti prevedono opzioni call e put a favore di Gefran che potranno essere esercitate entro un anno dall'approvazione del bilancio al 31 dicembre 2027 della startup. L'esercizio dell'opzione call porterebbe Gefran ad acquistare un ulteriore 30% del capitale sociale con diritto di voto di Robot at Work a un prezzo calcolato secondo la formula stabilita nell'accordo di investimento. L'opzione put potrà essere esercitata anche prima di tale data al verificarsi di alcune condizioni usuali per questo tipo di operazione.

L'accordo di investimento prevede inoltre la firma di contratti di management a lungo termine con l'attuale direzione della startup per assicurare la continuità e lo sviluppo della società.

Grazie a questa acquisizione Gefran integra all'interno del proprio business sia le soluzioni sia le competenze tecniche del team RAW in ambito Virtual Commissioning, ovvero il nuovo metodo di

sviluppo virtuale che, grazie a una replica digitale del processo da realizzare detta "Digital Twin", consente una completa predizione del risultato dando la possibilità al cliente di visualizzare sia il solo impianto robotizzato che la sua integrazione nella linea di produzione esistente. Uno strumento indispensabile per rivedere le esigenze produttive in un'ottica di sostenibilità.

Gefran aggiornerà il mercato sul prosieguo dell'operazione, secondo le disposizioni regolamentari.

The innovative company operates in the world of automation solutions

Provaglio d'Iseo (BS), December 20, 2023 - Gefran S.p.A., a company specialized in the design and production of sensors, systems and components for the automation and control of industrial processes, signed an investment agreement to acquire a minority share of Robot at Work S.r.l. (www.robotatwork.it), a startup based in Rovato (BS).

Founded in 2017, RAW is a dynamic and innovative young company that carries out design, manufacturing, sales and installation of industrial systems, including standard robotic cells, collaborative cells (involving the co-presence of operator and industrial automation), visual control and Virtual Commissioning. Acquired in 2021 by entrepreneurs Lorenzo and Rossella Codini, who currently retain a majority share, the company closed its financial statements as at December 31, 2022 with a turnover of EUR 3,804,129 and a profit of EUR 37,509.

The transaction was finalized through the sale of part of the share capital belonging to the majority shareholders and a subsequent capital increase, as a result of which Gefran S.p.A. holds the 24.83% of the share capital of Robot at Work for a total consideration of EUR 576,000 (consideration paid in cash, by its own means). Concurrently with the signing of the framework agreement, the shareholders' agreement that will regulate the governance of the company was signed.

The agreements between the parties include call and put options in favor of Gefran that can be exercised within one year of the approval of the startup's financial statements as at December 31, 2027. The enforcement of the call option would lead Gefran to acquire an additional 30% of the voting share capital of Robot at Work at a price calculated according to the formula set out in the investment agreement. The put option can be enforced also before such date upon the occurrence of certain conditions usual for this type of transaction.

The investment agreement also provides for the signing of long-term management agreements with the current management of the startup to ensure the continuity and development of the company.

Thanks to this acquisition, Gefran integrates within its business both the solutions and the technical skills of the RAW team in the area of Virtual Commissioning, namely the new virtual development method that, thanks to a digital replica of the process to be carried out called "Digital Twin," allows a complete prediction of the result by giving the customer the opportunity to visualize both the robotic

system alone and its integration into the existing production line. An indispensable tool for reviewing production needs in view of sustainability.

Gefran will update the market on the continuation of the transaction, according to regulatory requirements.
