GEFRAN SPA CONCLUDE LA VENDITA DI GEFRAN DRIVES AND MOTION S.R.L. AL GRUPPO BRASILIANO WEG

Provaglio d'Iseo (BS), 3 ottobre 2022 - Gefran S.p.A. ha concluso oggi la prima fase della cessione del Business Azionamenti al gruppo brasiliano WEG S.A. per un valore di 17,9 milioni di Euro su un totale complessivo dell'accordo pari a 23 milioni di Euro.

Sono state infatti cedute a WEG S.A. le quote di partecipazione nella società di diritto italiano Gefran Drives and Motion S.r.l.

La società , con sede a Gerenzano (VA) era la principale sede produttiva della Divisione Azionamenti del gruppo Gefran.

Contestualmente, Gefran S.p.A. ha firmato un accordi di licenza d'uso del marchio Gefran della durata di tre mesi, limitatamente ai prodotti oggetto dell'operazione di cessione, al fine di consentire all'acquirente la continuità produttiva senza interruzioni.

Successivamente, saranno oggetto di cessione Siei Areg Gmbh, il cui atto di cessione è previsto per il 4 ottobre 2022, e i rami d'azienda del Business Azionamenti scorporati da Gefran Siei Drives Technology Co Ltd e da Gefran India Private Ltd.

Il perimetro ed il valore totale dell'operazione non sono variati rispetto al comunicato rilasciato il 1° agosto 2022.

Il gruppo Gefran, quotato alla borsa valori di Milano, è un'azienda leader nel settore dei componenti per l'automazione e il controllo dei processi industriali. Nel 2021 ha realizzato un fatturato di 160 milioni di euro con tre Business Units: Sensori, Componenti per l'automazione e Azionamenti.

Il Business degli Azionamenti di Gefran è operativo nella progettazione, produzione e vendita di prodotti e soluzioni per regolare la velocità e controllare motori DC e AC, inverter, convertitori di armatura e servo azionamenti per applicazioni industriali oltre che soluzioni impiegate nel controllo degli ascensori; nel 2021 ha conseguito ricavi per 44,8 milioni di Euro (pari al 27% del fatturato del gruppo) e conta 175 dipendenti.

Fondato nel 1961, il gruppo WEG opera su scala globale nella produzione di apparecchiature elettriche ed elettroniche impiegate principalmente nella produzione di beni strumentali. Presente in 135 Paesi, con unità produttive in 12, oltre 37.000 dipendenti, il gruppo ha conseguito nel 2021 ricavi per 23,6 miliardi di Real brasiliani che lo collocano tra i primi operatori mondiali del settore.

Gefran aggiornerà il mercato sul prosieguo dell'operazione, secondo le disposizioni regolamentari.

GEFRAN SPA COMPLETES THE SALE OF GEFRAN DRIVES AND MOTION S.R.L. TO THE BRAZILIAN GROUP WEG

Provaglio d'Iseo (BS), 3 October 2022 - Gefran S.p.A. today completed the first phase of the sale of the Drives Business to the Brazilian group WEG S.A. for a value of 17.9 million Euros out of an overall equal to 23 million Euros of the agreement.

The quotes in the Italian company Gefran Drives and Motion S.r.l. were in fact sold to WEG S.A. The company, based in Gerenzano (VA), was the main production site of the Gefran group's Drives Division.

At the same time, Gefran S.p.A. signed a three-month license agreement for the use of Gefran trademark, limited to the products involved in the transaction, in order to allow the buyer to have business continuity without interruption.

Subsequently, the quote of Siei Areg Gmbh will be also sold, whose deed of sale is scheduled for 4 October 2022, as well as the Business Units of the Drives Business spun off from Gefran Siei Drives Technology Co Ltd and Gefran India Private Ltd will be sold.

The scope and total value of the transaction have not changed compared to the press release issued on 1 August 2022.
