RESIGNATION OF THE CHIEF EXECUTIVE OFFICER
Provaglio d'Iseo (BS), 2 December 2019 – The Board of Directors of GEFRAN S.p.A, met today under the chairmanship of Maria Chiara Franceschetti at the company's headquarters in Provaglio d'Iseo (BS), received the resignation, with immediate effect, from the charge of Chief Executive Officer by Mr. Alberto Bartoli, who explained that the reason for the resignation is the decision to start a new independent career path.
Mr. Bartoli was an executive director, non-independent, and he was also appointed Executive Director responsible for supervising implementation of the internal control system and he was not member of any internal committee.
To the company's knowledge, at the resignation date, Mr. Bartoli does not own any participations in the company.
"I leave a solid company with excellent development prospective and I wish all the people of Gefran the success they deserve" declared Alberto Bartoli.
The Board of Directors, while expressing sincere thanks to Mr. Bartoli for the activity performed and wishing him the best for his future professional career, activated the "Plan for succession of the Chief Executive Officer" prepared last February according to the application criteria 5.C.2 of the Italian Code of Conduct for listed companies, starting the activities included in such plan.
According to the principle 6.P.5 of the Italian Code of Conduct for listed companies, the company informs that no indemnity for the termination of the charge has been granted.
