Subject: Submission of Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Execution of Definitive Agreement (‘Development Agreement’) for Real Estate Development of Company Land at Thane

Dear Sir/Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that GEE Limited has signed a Development Agreement on 24 November 2025 for the real estate development of its land situated at Plot No. E-1, Road No. 7, Wagle Industrial Estate, Thane - 400 604, Maharashtra, India.

The agreement has been entered into among GEE Limited (land owner) and Fen-Kin Infinity LLP (Developer).

The development rights granted pertains to our land parcel admeasuring 13,391 sq. mtrs., which is proposed to be developed into a Commercial project. Under this arrangement, the Company is entitled to approximately 2,90,000 sq. ft. of RERA-registered constructed area as its share.

The disclosure containing material information is enclosed as Annexure .

We request you to kindly take the same on record under Regulation 30 and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements), Regulations 2015.

The turnover or revenue or income from the lease
hold land is as follows:
1. FY 2024-25 - Rs. 46 Crore
2. For H1FY26 (1st April 2025 to 30th September
2025) – Rs. 26 Crore
The machinery located at the above land will be
shifted to our another plant located in Kalyan -
Bhiwandi, without impacting revenues.

disposal
Within 6 years from the date of execution of the
Development Agreement, the Company expects to
receive from Fen-Kin Infinity LLP commercial units
on an area sharing basis of approximately 2,90,000
square feet RERA carpet area along with mutually
agreed amenities. The Company expects to sale /
dispose of commercial units that it receives in a
staggered manner post launch of the project.
4. Consideration received from such sale/disposal In lieu of the development rights granted to Fen-Kin
Infinity LLP for construction of commercial
Property in the lease hold Land in Thane as per the
Development Agreement, Company will receive
commercial units on an area sharing basis of
approximately 2,90,000 square feet RERA carpet
area along with mutually agreed amenities in the
Property.
5. Brief details of buyers and whether any of the
buyers belong to the promoter/promoter
group/group companies. If yes, details thereof
Developer: Fen-Kin Infinity LLP
The Developer & Facilitator does not belong to the
promoter/promoter group/group companies.
6. Whether the transaction would fall within
related party transactions? If yes, whether the
same is done at “arms length”
The transaction will not fall within related party
transactions.
7. In case of a slump sale, indicative disclosures
provided for amalgamation/merger, shall be
disclosed by the listed entity with respect to
such
slump sale.
