The issuer is solely responsible for the content of this announcement. ——————————————————————————– IntraWare AG takes over the control of global words AG Petersberg, September 4, 2002 – IntraWare AG takes over control of global words AG, Eisenach, provider of software solutions for automated translations via a shareholder majority through a 1.3 million Euro capital increase. As part of the investment, Markus Ernst, member of the board, chief financial officer for IntraWare AG, will also be CFO at the board on equal standing with Jörg Ott. IntraWare AG will have management control of global words AG in addition to an investment based control. The goal of this action is the complete integration of IntraWare CRM solutions and global words technology into a multilingual communication solution for mid- size companies and corporate environment. This includes, for example, the use of the semantic-syntactic analysis methods for the automation of procedures in IntraWare AG’s Helpdesk, Knowledge or Workflow solutions (for example the automatic assignment of documents to contacts, jobs, deadlines, etc.). Through this unique selling point IntraWare AG will develop access into large projects that are scheduled to begin in the near future. Feed-back from an IntraWare AG customer survey and also talks with partners confirm this. IntraWare AG, therefore, gains access to the corporate environment and expands its business model to include the market for language technologies. In addition to the integrated products the company will continue to sell products for CRM and automated translation services as independent solutions and will actively develop new potential markets. The IntraWare AG partner network for marketing and sales will be expanded and in future will sell the technology of global words AG in addition to the current products to mid-sized companies. The Key Account Group of the company, currently being enlarged, will expand its acquisition of international companies and will place the integrated products in those markets.
