The issuer is solely responsible for the content of this announcement. —————————————————————————— GROUP Technologies AG carries out capital increase Eisenach, 10 July 2006 – Today the Management Board of GROUP Technologies AG resolved to use the approved capital I in the amount of 1.512.423,00 Euro for the purpose of a capital increase subject to the approval of the Supervisory Board. The subject of the capital increase is the conversion of a loan in a total amount of 1.588.044,15 Euro given to GROUP Technologies AG by vbv Vitamin-B Venture GmbH. The equity capital of the company will be increased from 21.234.315,00 Euro to 22.746.738,00 Euro, divided into 22.746.738 individual shares. vbv Vitamin-B Venture GmbH subscribes and assumes 1.512.423 individual shares at the nominal par value of 1,00 Euro per individual share at an issuing price of 1,05 Euro per individual share. The subscription right of the shareholders is excluded.
