Sub: Disclosure of Execution of Shareholders Agreementfor Sale of Investments pursuant to Regulation 30 of the Securities Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015.
Ref: SEBI Circular No: CIR/CFD/CMD/4/2015 dated 09t September, 2015
With reference to the above stated subject, it is hereby informed that Gayatri Highways Limited (the "Seller/Investee") has proposed to Sale up to 36.99% of Equity Share Capital held by the Company in HKR Roadways Limited to Kotak Special Situations Fund (represented by its investment manager, Kotak Investment Advisors Limited) (the "Purchaser/Investor") under OTS (Onetime Settlement) Scheme.
Gayatri Highways Limited, Existing Shareholder of HKR Roadways Limited has agreed for sale of their equity shareholding to Kotak Special Situations Fund (represented by its investment manager, Kotak Investment Advisors Limited) 17,17,146 fully paid up equity sharesof face value of INR 10 each aggregating to INR 1,71,71,460 (Rupees One Crore Seventy One Lakh Seventy One Thousand Four HundredSixty Only).
The Details required pursuant to the Schedule III of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 and SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09th September, 2015 is given in Annexure-1.
