Sub: Board's Review and commentsin respect to Notice of NSE received vide reference no. NSE/LIST-SOP/COMB/FINES/0810 dated 17.11.2020 in the matter of delayed compliance of listing regulation 17(1) of SEBI (LODR) Regulations, 2015 ("Listing Regulations").

With respect to the above said notice, the Board of Directors [the "Board"] of Gayatri Highways Limited [the "Company"] has placed the notice at their Board Meeting held on 02" February, 2021, and the comments madeby the BoardofDirectors are as follows:
Due to the global pandemic of COVID-19, lockdown situations, travel restrictions and engaging of the staff or human resources has disturbed the entire line and staff of the Company, due to the unpredictable and unavoidable situations the Company could not appoint the 2 [Two] proposed candidates as Directors within the prescribed time given in the Listing Regulations.
In the Board Meeting held on 28th August, 2020, the Board has appointed Mr, Desina Balarama Krishna and Ms. Venkata Sindhuja Pothapragada as Directors in Independent Category and has complied with the Listing Regulations.
The composition of the Board of the Company is 6 [Six] Directors with effect from 28" August, 2020.
