Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2016, the Board of Directors of GATX Corporation (the “Company”) appointed Diane Aigotti to serve as an independent director on the Board of Directors of the Company. Ms. Aigotti will also serve as a member of the Audit Committee.

A copy of the press release announcing Ms. Aigotti’s appointment to the Board is included as an exhibit to this report. Ms. Aigotti will participate in the standard non-employee director compensation arrangements described in the section entitled "Director Compensation" in the Company’s Proxy Statement filed with the Securities and Exchange Commission on March 11, 2016.
