Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 27, 2007, the Board of Directors of GATX Corporation (the “Company”) elected David S. Sutherland to serve as an independent director on the Board of Directors of the Company. The committees of the Board of Directors to which Mr. Sutherland will be named have not been determined at this time.
