Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 21, 2006, the Board of Directors of GATX Corporation (the “Company”) elected Marla C. Gottschalk to the Board of Directors of the Company to fill the vacancy created by the Board’s action to increase the number of directors from nine to ten. The committees of the Board of Directors to which Ms. Gottschalk will be named have not been determined at this time.

A copy of the press release announcing these actions is included as an exhibit to this report.
