Director/PDMR Shareholding

On 11 December 2024 (the "Grant Date"), the following conditional share awards over ordinary shares in Gattaca were granted to the Company's PDMRs under the Matchtech Group Plc 2016 Long Term Incentive Plan (the "LTIP"):

The LTIP award is a conditional grant of shares, which vest and become exercisable at nil-cost on the third anniversary of the Grant Date, subject to the individual's continued employment with the Group.  Vesting of the LTIP awards are subject to the achievement of earnings per share targets (the "EPS Targets") over the year ended 31 July 2027 and total shareholder performance (the "TSR Targets") over the three-year period to 31 July 2027; with 25% of the maximum award vesting for threshold performance in both cases.

For Executive Directors, 50% of the award is subject to the achievement of EPS Targets and 35% is subject to the achievement of TSR Targets, with the balance being subject to the rate of all staff attrition and gender diversity amongst leadership and management.

The below notification, made in accordance with the requirements of the EU Market Abuse Regulation, gives further details of the transaction on 11 December 2024.
