Issue of Equity Regarding Tozer Gallagher LLP Acquisition
and
Total Voting Rights
Gateley (Holdings) Plc (AIM:GTLY), the legal and professional services group, announces that pursuant to the terms of the acquisition of Tozer Gallagher, announced on 23 July 2021, the Company has paid deferred consideration of £100,000 in cash. As previously announced each recipient has applied 50% of the consideration to subscribe for ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares) and Gateley has issued 25,071 Ordinary Shares in satisfaction of this subscription.
Accordingly, application has been made for the 25,071 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur at 8.00 a.m. on 20 September 2022.
Total Voting Rights
The Company now has a total of 124,618,605 Ordinary Shares in issue with one voting right per share.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
