Dear Sirs,

The purpose hereof is to inform you -in accordance with the requirements of the regulations under the United States Securities and Exchange Act- that in the meeting held on May 2, 2011, TGS’ Board appointed Mr. Carlos Alberto Olivieri, Miguel Eduardo Mirmi and Diego Alberto Güerri as Auditing Committee members. In the case of vacancy, resignation, illness or absence, the Auditing Committee members shall be replaced by independent alternate directors as follows: Mr. Carlos Alberto Olivieri by Mr. Diego Petrecolla; Mr. Miguel Eduardo Mirmi by Mr. Ernesto Guillermo Leguizamón; and Mr. Diego Alberto Güerri by Mr. Alejandro Candioti.
