NOTICE TO THE MEMBERS

NOTICE is hereby given pursuant to the provisions of Section 110 ! and other applicable provisions, if any, of the Companies Act, 2013, ("the Act") read with the Companies (Management and Administration) Rules, 2014 ("the Rules") (including any statutory modification(s) or re-enactment(s) thereof, for the time being in force), Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") that the. Company has on Friday, 11thJanuary, 2019:-

• i) Completed the dispatch of Postal Ballot Notice dated 2Jth -December, 2018 along with Postal Ballot Form and postage prepaid self-addressed business reply envelope to the Members, who have not registered their e-mail ids; and
• ii) E-mailed the Postal Ballot Notice dated 2Jth December, 2018 along with Postal Ballot Form to the Members, who have registered their e-mail ids.

and whose names appear as Members / Beneficial Owners in the Company's Register of Member's / the record of the depository as on the close of business hours 0\1 Monday, 31st December, 2018 (Cut-off date), for seeking consent of the Members, in respect of the business contained in the' said Postal Ballot Notice by way of Postal Ballot I through voting by Electronic Means ("e-Voting"): A person, who is not a Member as on Cut-off date should treat this Notice for information purpose only.

The Company, in compliance with the provisions of Section 108 of the Act, read with Rule 20 of the Rules and Regulation 44 of the Listing Regulations is also providing to the Members (holding shares both in physical and in electronic form), the facility to cast their vote on the proposed Resolution through the e-Voting services provided by Central Depository Services (India) Limited (CDSL). Members can also cast their vote on the proposed Resolution through e-Voting. The' e-Voting facilities will be available at the link: www.evotingindia.com. The instructions for e-Voting are given in the Postal Ballot Notice dated 27th December, 2018.

The voting process both through physical Postal Ballot Form and e-Voting, will commence on Saturday, 12thJanuary, 2019 at 9:00 a.m, and ends on Sunday, 10th February, 2019 at 5.00 p.rn, Members are requested to send the Postal Ballot -Form, duly compleied and signed,to reach the Scrutinizer before 5:00 p.m, on Sunday, 10thFebruary, 2019. Postal Ballet Forms received by the Scrutinizer after 5:00 p.rn, on Sunday, 10thFebruary, 2019 will not be valid and voting either' by physical Postal Ballot Form or through e-Voting shall not be allowed beyond the said date and time ..

The Member can opt for only one mode of voting i.e, either by physical Postal Ballot Form or through e-Voting.

Mr. S. V. Deulkar, Partner of MIs. S. V. D. & Associates (CP No. 965) has been appointed as Scrutinizer to scrutinize voting process in a fair and transparent manner and in accordance with the applicable laws.

The Results will be declared and put up on the Company's notice board at its Registered Office along with the report of the Scrutinizer on or before Wednesday, 13th February, 2019 and will also be posted on the website of the Company www.garwarefibres.com and on the website of the CDSL e-Voting.

In case a Member is desirous of obtaining a Postal Ballot Form in physical or a duplicate Postat Ballot Form, he or she may write to the Company at its Registered Office or send an E-mail at secretarial@garwarefibres com. The Company's Registrar & Share Transfer Agent i.e, Link Intime India Pvt. Limited shall forward the same along with self-addressed postage pre-paid business reply envelope to the Members. The Postal Ballot Notice and instructions for e-Voting are available on the websites www evotingindja.com and .www.garwarefibres.com. सभासदांची सूचना

कंपनी अधिनियम, २०१३ च्या ('अधिनियम') कलब ११३ च्या तरतूदी आणि इतर लागू तरतुदी, तसेच कंपनी (व्यवस्थापन व प्रशासन) नियम, २०९४ ('नियम') (तात्पुरत्या कालावधीसाठी प्रभावी अशा, त्यासंबंधीच्या कोणत्याही सांविधिक सुधारणा किंवा रि-इनॅक्टमेंट समाविष्ट), सेबी (सूचीकरण आबंधने व प्रकटीकरण आवश्यकता), २०१५ च्या नियमन ४४ ('सूचीकरण नियमने') ह्यांच्या अनुरोधाने ह्याद्वारे सूचित करण्यात येत आहे की, टपाल मतदानाद्वारे/इलेक्ट्रॉनिक पद्धतीने ('ई-मतदान पद्धतीने') सदर टपाल मतदान नोटिशीमध्ये समाविष्ट कामकाजाच्या संबंधात, सभासदांची संमती प्राप्त करण्यासाठी, सोमवार, ३१ डिसेंबर २०१८ रोजी (कट-ऑफ तारीख) कार्यालयीन तासांच्या समाप्तीला कंपनीच्या सभासदांच्या नोंदवहीमध्ये/डिपॉझिटरीच्या नोंदीमध्ये ज्या सभासदांची/लाभार्थी मालकांची नावे आढळून आली, त्या सर्व सभासदांना कंपनीने शुक्रवार, ११ जानेवारी २०१९ रोजी:

• १) ज्यांचे ईमेल आयडीज नोंदणीकृत नाहीत, त्या सभासदांना टपाल मतदान प्रपत्र आणि पोस्टेज प्रीपेड सेल्फ-ॲडेस्ड बिझनेस रिप्लाय इन्व्हलोप ह्यांसह २७ डिसेंबर २०१८ तारखेची टपाल मतदान नोटीस पाठविण्याची प्रक्रिया पूर्ण केलेली आहे; आणि
• २) ज्यांनी आपले ईमेल आयडीज नोंदणीकृत केलेले आहेत, त्यांना टपाल मतदान प्रपत्रासह २७ डिसेंबर २०१८ तारखेची टपाल मतदान नोटीस ईमेल करण्यात आलेली आहे.

सदर कामकाज हे टपाल मतदानाद्वारे पार पाडायचे आहे आणि त्यामध्ये ई-मतदान समाविष्ट आहे. कट-ऑफ तारखेला सभासद नसणाऱ्या व्यक्तीने ही नोटीस केवळ माहितीच्या हेतूसाठी विचारात घ्यावी.

कंपनी ही, अधिनियमाच्या कलम १०८ च्या तरतुर्दीच्या आणि नियमांच्या नियम २० च्या तसेच सूचीकरण नियमनांच्या नियमन ४४ च्या अनुपालनासह, सेंट्ल डिपॉझिटरी सर्व्हिसेस (इंडिया) लिमिटेडद्वारे (सीडीएसएल) प्रदान करण्यात येणाऱ्या ई-मतदान सेवांच्या माध्यमातून प्रस्तावित ठरावावर सभासदांना (वास्तविक आणि इलेक्ट्रॉनिक अशा दोन्ही प्रकारे भाग धारणा करणाऱ्या) मतदान करता येण्यासाठी त्यांना सुविधादेखील प्रदान करत आहे. सभासद हे ई-मतदानाच्या माध्यमातूनही प्रस्तावित ठरावावर त्यांचे मतदान करू शकतात. ई-मतदान सुविधा ही www.evotingindia.com ह्या लिंकवर उपलब्ध आहे. ई-मतदानासाठी निर्देश २७ डिसेंबर २०१८ रोजी टपाल मतदानमध्ये दिले आहेत.

वास्तविक टपाल मतदान प्रपत्र व ई-मतदान ह्या दोन्हींद्वारे होणारी मतदान प्रक्रिया, शनिवार, १२ जानेवारी २०१९ रोजी सकाळी ९:०० वाजता सुरू होईल आणि रविवार, १० फेब्रुवारी २०१९ रोजी संध्याकाळी ५:०० वाजता समाप्त होईल.

यथोचितरीत्या पूर्ण केलेले व स्वाक्षरीकृत केलेल टपाल मतदान प्रपत्र हे परिनिरीक्षकांकडे रविवार, १० फेब्रूवारी २०१९ रोजी संध्याकाळी ५:०० पूर्वी पोहोचेल अशा प्रकारे पाठविण्याची विनंती करण्यात येत आहे. रविवार, १० फेब्रुवारी २०१९ रोजी संध्याकाळी ५:०० नंतर परिनिरीक्षकांना प्राप्त होणारी टपाल मतदान प्रपत्रे ही वैध असणार नाहीत आणि सदर तारीख आणि वेळेनंतर टपाल मतदान प्रपत्राद्वारे किंवा ई-मतादनाद्वारे मतदान करण्याला अनुमती असणार नाही.

सभासद हे वास्तविक टपाल मतदान प्रपत्र किंवा ई-मतदान ह्यांपैकी एकाच मतदान प्रकाराचा अवलंब करू शकतील.

मतदान प्रक्रियेचे न्याय्य व पारदर्शक पद्धतीने आणि लागू कायद्यांनुसार परिनिरीक्षण करण्यासाठी परिनिरीक्षक म्हणून श्री. एस.व्ही. देऊळकर, मेसर्स एस.व्ही.डी.ॲन्ड असोशिएट्सचे भागीदार (सीपी क्र. ९६५), ह्यांची नियुक्ती करण्यात आलेली आहे.

निकाल हे बुधवार, १३ फेब्रुवारी २०१९ रोजी परिनिरीक्षकांच्या अहवालासह कंपनीच्या नोंदणीकृत कार्यालयामधील सूचना फलकावर घोषित करण्यात येतील व लावण्यात येतील तसेच कंपनीच्या www.garwarefibres.com ह्या वेबसाइटवर तसेच सीडीएसएल ई-मतदानाच्या वेबसाइटवरही प्रदर्शित करण्यात येतील.

सभासद हा वास्तविक स्वरूपातील टपाल मतदान प्रपत्र किंवा टपाल मतदान प्रपत्राची दसरी प्रत प्राप्त करण्यास इच्छुक असल्यास, तो किंवा ती कंपनीला तिच्या नोंदणीकृत कार्यालयामध्ये लिहून किंवा secretarial@garwarefibres.com येथे ईमेल पाठवून त्याबाबत कळवू शकतो. कंपनीचे रजिस्ट्रार आणि शेअर ट्रान्सफर एजन्ट म्हणजेच लिंक इनटाइम इंडिया प्रा. लिमिटेड हे सेल्फ-ॲड्रेस्ड (स्वयंप्रेषिती) पोस्टेज प्री-पेड बिझनेस रिप्लाय लिफाफ्यासह सदर हे सभासदांकडे पाठवतील.
