ISSUE OF DEFERRED SECURITY AWARDS

GARDA Property Group advises that, in accordance with its Equity Incentive Plan (Plan), Deferred Security Awards (DSAs) were granted to six employees on 13 November 2023.

Details of the DSA grant include:

Grant: 1,762,000 GDF stapled securities granted as DSAs
Price: Employees paid nil consideration for their DSAs
Participants: Six employees received DSAs, including two key management personnel:
 David Addis: 153,217 DSAs
 Lachlan Davidson: 102,145 DSAs (registered holder: Samantha
Davidson)
Restriction Period: DSAs granted to key management personnel are subject to a restriction, or
escrow, period ending on 31 August 2026
Other  The grant does not create a new class of securities
 GARDA satisfied the grant from treasury stock i.e., new stapled
securities have not been issued
 DSAs are entitled to distributions and may vote
 DSAs are otherwise subject to the terms of the Plan
