GDF Completes Internalisation
GARDA Property Group (ASX: GDF) announces that it has successfully completed the internalisation of its management functions ( Internalisation ) through the acquisition of GARDA Capital Group (ASX: GCM).
As part of the Internalisation, units in GARDA Diversified Property Fund were stapled to shares in GARDA Holdings Limited on a one for one basis, forming the GARDA Property Group and making GDF a stapled security.
GARDA Property Group has now acquired all of the securities of GARDA Capital Group from GCM securityholders, in consideration for the allotment and issue of 42,288,002 GDF stapled securities. Following the allotment, the number of stapled securities on issue in GDF is 227,644,361.
New holding statements, reflecting the new stapled entity structure, will be despatched to securityholders today, 29 November 2019. The GDF stapled securities are expect to commence trading on the ASX on a normal T+2 settlement basis from 2 December 2019 under the same ASX ticker ‘GDF’.
Please refer to Attachment 1 for an indicative distribution schedule of securityholders and indicative statement of the top 20 largest securityholders following implementation of the Internalisation.[1]
