ITEM 5. OTHER EVENTS.

On November 21, 2002, The Gap, Inc. (the “Company”) issued a press release announcing that John Lillie retires from his role as Vice Chairman and resigns from the board of directors of the Company. A copy of this press release is attached hereto as Exhibit 99.1.

On November 21, 2002, the Company entered into a transition agreement with John Lillie. A copy of the transition agreement is attached hereto as Exhibit 10.1.
