Offer to acquire VOZTELECOM OIGAA360, S.A - a leading provider of IP telephony services in Spain 

Further to the announcement on 18 February 2020, Gamma Communications plc ("Gamma"), a leading technology-based provider of communications services to the business markets in the UK and the Netherlands, is pleased to announce that its wholly-owned subsidiary, Gamma Communications Europe B.V., has received valid acceptances in respect of 4,355,461 shares in VOZTELECOM OIGAA360, S.A ("VozTelecom"), representing 94.9% of the existing issued share capital of VozTelecom.

Accordingly, the Group now owns 94.9% of VozTelecom's share capital and the offer is unconditional in all respects.  It is intended that an application will be made for cancellation of the listing of VozTelecom's Shares on Mercado Alternativo Bursátil in Spain and the company will be reregistered as a private company.
