On August 21, 2014, GameStop Corp. (“the Company”) issued a press release announcing its financial results for its second quarter ended August 2, 2014. A copy of the press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.

On August 19, 2014, GameStop Corp.’s Board of Directors approved a cash dividend to its stockholders. The quarterly dividend of $0.33 per share of Class A Common Stock will be paid on September 16, 2014 to stockholders of record on the close of business on September 3, 2014. This announcement was included in a press release distributed on August 21, 2014. A copy of the press release is attached hereto as Exhibit 99.1.
