Galileo Mining Ltd (ACN 104 114 132) (Company) Pre-Quotation Disclosure – Confirmation Statement

We refer to your letter of 10 May 2018 granting conditional approval for the admission of the Company’s securities to official quotation and provide the following statements for release to the market prior to official quotation of the Company’s securities on the Australian Securities Exchange ( ASX ).

Completion of Dunstan Tenement Sale

We confirm the satisfaction or waiver of the conditions precedent to, and completion of, the Company’s acquisition of a 67% interest in the Dunstan Tenements under the joint venture agreement entered into between Mark Creasy, Dunstan Holdings Pty Ltd (“ Dunstan ”) and the Company’s wholly owned subsidiary, FSZ Resources Pty Ltd dated 22 January 2018.

We confirm that 510,455 fully paid ordinary shares in the Company have been issued to Dunstan.

Completion of GSN Tenement Sale

We confirm the satisfaction or waiver of the conditions precedent to, and completion of, the Company’s acquisition of a 67% interest in the GSN Tenement under the joint venture agreement entered into between Mark Creasy, Great Southern Nickel Pty Ltd (“ Dunstan ”) and the Company’s wholly owned subsidiary, NSZ Resources Pty Ltd dated 22 January 2018.

Issue of Securities to Australian Gold Resources Pty Ltd

We confirm that the Company has issued 16,491,440 fully paid ordinary shares in the Company to Australian Gold Resources Pty Ltd.
