Galapagos increases share capital through subscription right exercises

Mechelen, Belgium; 20 June 2022, 22.01 CET; regulated information – Galapagos NV (Euronext & NASDAQ: GLPG) announces a share capital increase arising from subscription right exercises.

Galapagos issued 80,290 new ordinary shares on 20 June 2022, for a total capital increase (including issuance premium) of EUR 1,459,506.60.

Pursuant to the subscription right exercise program for Galapagos' executive committee, the members of the executive committee automatically are committed to exercise a minimum number of subscription rights, subject to certain conditions. In accordance with the rules of this program, one executive committee member exercised 5,000 subscription rights.

In accordance with Belgian transparency legislation¹ , Galapagos also wishes to note that its total share capital currently amounts to EUR 355,533,029.01, the total number of securities conferring voting rights amounts to 65,728,511, which is also the total number of voting rights (the denominator), and all securities conferring voting rights and all voting rights are of the same category. The total number of rights (formerly known as 'warrants') to subscribe to not yet issued securities conferring voting rights is (i) 9,060,766 subscription rights under several outstanding personnel subscription right plans, which equals 9,060,766 voting rights that may result from the exercise of those subscription rights, and (ii) 1 subscription right issued to Gilead Therapeutics to subscribe for a maximum number of shares that is sufficient to bring the shareholding of Gilead (and its affiliated companies) to 29.9% of the actually issued and outstanding shares after the exercise of such subscription right. The foregoing excludes the 2,326,025 subscription rights of Subscription Right Plan 2022 BE, Subscription Right Plan 2022 RMV and Subscription Right Plan 2022 ROW, which were created subject to acceptance. Galapagos does not have any convertible bonds or shares without voting rights outstanding.

Galapagos verhoogt kapitaal door uitoefening van inschrijvingsrechten

Mechelen, België; 20 juni 2022, 22.01 CET; gereglementeerde informatie – Galapagos NV (Euronext & NASDAQ: GLPG) kondigt een kapitaalverhoging aan als gevolg van de uitoefening van inschrijvingsrechten.

Galapagos heeft 80.290 nieuwe aandelen uitgegeven op 20 juni 2022, met een totale kapitaalverhoging van EUR 1.459.506,60 (inclusief uitgiftepremie) tot gevolg.

Overeenkomstig de regels van het uitoefeningsprogramma voor inschrijvingsrechten toegekend aan leden van het directiecomité van Galapagos, dat erin voorziet dat de leden van het directiecomité automatisch een minimum aantal inschrijvingsrechten uitoefenen onder welbepaalde voorwaarden, heeft één lid van het directiecomité 5.000 inschrijvingsrechten uitgeoefend.

In overeenstemming met de Belgische transparantiewetgeving wenst Galapagos ook mee te delen dat haar maatschappelijk kapitaal EUR 355.533.029,01 bedraagt; het totaal aantal stemrechtverlenende effecten 65.728.511 bedraagt, hetgeen eveneens gelijk is aan het totaal aantal stemrechten (de noemer); alle stemrechtverlenende effecten en alle stemrechten van dezelfde categorie zijn. Het totaal aantal rechten (vroeger bekend als 'warrants') om in te schrijven op nog niet uitgegeven stemrechtverlenende effecten bedraagt (i) 9.060.766 inschrijvingsrechten onder verschillende uitstaande inschrijvingsrechtenplannen in hoofdzaak bestemd voor personeel, hetgeen overeenstemt met 9.060.766 stemrechten die kunnen worden verkregen door de uitoefening van die inschrijvingsrechten, en (ii) 1 inschrijvingsrecht uitgegeven aan Gilead Therapeutics met het oog op het inschrijven op een maximum aantal aandelen dat voldoende is om het aandeelhouderschap van Gilead (en haar verbonden vennootschappen) te brengen tot 29,9% van het daadwerkelijk uitgegeven en uitstaande aantal aandelen na de uitoefening van het inschrijvingsrecht. Het voorgaande houdt geen rekening met de 2.326.025 inschrijvingsrechten onder het Inschrijvingsrechtenplan 2022 BE, Inschrijvingsrechtenplan 2022 RMV en Inschrijvingsrechtenplan 2022 ROW die werden gecreëerd onder voorbehoud van aanvaarding. Galapagos heeft geen converteerbare obligaties noch aandelen zonder stemrecht uitstaan.
