Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 29, 2007, the Board of Directors of Gaiam, Inc. unanimously adopted the amended and restated Bylaws of Gaiam, Inc which amended and restated Bylaws are effective November 29, 2007. The Bylaws were amended to allow Gaiam to issue uncertificated shares to comply with the requirements of NASDAQ that the securities of listed companies be eligible for the direct registration of shares. A marked copy of the amended and restated Bylaws which shows the changes adopted is filed herewith as Exhibit 3.1.
