In furtherance to the captioned subject and mentioned reference, we wish to inform you that the Board of Directors of the Company through a resolution passed by circulation on April 30, 2023, had inter-alia considered and approved the following:

Allotment of 9,73,00,000 (Nine Crores Seventy-Three lakhs only) Equity Shares with Normal Voting Rights (“Equity Shares”) of the face value of Re. 1/- (Rupee One) at an issue price of Re. 1/- each (“Rupee one”) on a preferential basis to the following Allottees as Annexed hereto marked as Exhibit-A .
Allotment of 1,75,000 (One lakh Seventy-Five Thousand only) Equity Shares with Differential Voting Rights (“DVR Shares”) of the face value of Re. 1/- each (Rupee One) at an issue price of Rs. 14/- each (“Rupees Fourteen”) on a preferential basis to the following Allottees as Annexed hereto marked as Exhibit-B .
Allotment of 1,39,75,857 (One Crore Thirty-Nine Lakhs Seventy-Five Thousand Eight Hundred and Fifty-Seven) Equity Shares with Normal Voting Rights (“Equity Shares”) of a face value of Re. 1/- (one Rupee) at an issue price of Re. 1/- each (“one”) against the conversion of loan amount aggregating to Rs. 1,39,75,857/- on a preferential basis to the following Allottees as Annexed hereto marked as Exhibit-C .
