Despite having Nil shareholding and zero control over the affairs of the Company, we have been classified under "Promoter and Promoter Group" of the Company, due to the historical reasons.

We do not hold any managerial position in the Company and neither are classified as key managerial personnel of the Company. Further, | am not involved in any decision-making process of the Company. Further, we have not entered into any Shareholders Agreement with the Company and we do not have any Veto Rights or Special Information Rights or Special Rights as to Voting power or Control of the Company.

We believe that our request squarely falls under the ambit of SEBI laws and is in line with the established norms and practices of the securities market.

In light of the same, we request you to declassify us as the promoters of the Company and allow us to be catégorized as public shareholders of the Company. We have also attached a signed undertaking stating all the important facts which are necessary for undertaking such declassification. We would be happy to provide you with any documents, declarations, writings, information or undertakings, as you may require, for the purposes of declassification.

UNDERTAKING FOR DECLASSIFICATION

With regard to our request for declassification as a promoter of Stampede Capital Limited (referred to as, the "Company") and in accordance with Regulation 31 A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, We confirm and undertake the followings:

• Y That as on the date of this undertaking we possess Zero Equity Shares with Normal Voting Rights and of the Company and Zero Equity Shares with Differential Voting Rights and of the Company.
• We will not be on the Board of Directors (including a Nominee Director) of the Company for a period of not less than three years from the date of reclassification.
• We will not act as a key managerial person in the Company for a period of not less than three years from the date of reclassification
• That we do not, directly or indirectly, exercise control over the affairs of the Company.
• ~ That we are not associated with the Company in the capacity of its director, key managerial personnel, employee, consultant or in any other similar nature.
• That we are living our life and occupation independently and we are not connected, directly or indirectly, whatsoever, with the Company in any capacity.
• That we do not possess any special rights, through any formal or informal arrangements, in the Company.
• That neither we are privy to any price sensitive information about the Company currently and nor we do wish to participate in any of the affairs of the Company post such declassification.
• We are not a 'wilful defaulters' as per the Reserve Bank of India guidelines
