In furtherance to the captioned subject and mentioned reference, we wish to inform you that the Board of Directors of the Company in its adjourned meeting held today i.e., Tuesday, August 26, 2025, has inter-alia

1. The Board Approved the issuance of 1,210,077,200 Equity Shares of the Company having face value of Re. 1/- (Rupee One Only) at an issue price of Rs. 1/- (Rupees One Only) to non-promoters on preferential issue basis (Share Swap) in lieu of acquisition of 5.34% stake at a ratio of 80:1 i.e 80 equity shares in GACM Technologies limited for 1 ( One ) equity share in Market Simplified India Limited and 21.06% of Stake at a ratio of 120:1 i.e 120 equity shares in GACM Technologies limited for 1 ( One ) equity share in WEXL EDU Private Limited As per the list attached as ( Annexure‐A ), in accordance with the provisions of Chapter V of SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable rules, regulations and guidelines of SEBI and applicable provisions of Companies Act, 2013, subject to applicable members/statutory/regulatory/other approvals, and appoint the various intermediaries required for this purpose.

Disclosure with respect to the Preferential Issue under Regulation 30 of SEBI Listing Regulations read with SEBI circular SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 is enclosed as Annexure B .

1. The Board Approved the increase in authorised share capital of the company from 3,00,00,00,000 (Rupees Three Hundred Crores only) to 5,50,00,00,000 (Rupees Five Hundred and Fifty Crores only) subject to the approval of the shareholders of the Company in the ensuing 30[th] Annual General Meeting.

2. The Board Approved the material related Party Transactions subject to approval of members of the Company under Section 188 of Companies Act, 2013.

3. The Board Noted the Valuation Report from the Independent Registered Valuator “Gadiparthi Rambabu with registration no. IBBI/RV/06/2019/1111 having office at H. No. 7-1-636/12, 1[st] Floor, Model Colony, near ESI Hospital, SR Nagar, Hyderabad – 500038, Telangana, India. (attached herewith)

4. The Board Approved the response received by the company against the request or CARE Ratings Limited (“ CARE”) to be appointed as the Monitoring Agency (“Monitoring Agency”) for the Issue for ON PREFERENTIAL BASIS (SHARE SWAP) AND QUALIFIED INSTITUTIONAL PLACEMENT , we set out the terms and conditions on which we have agreed to such appointment and agreement was drawn.
