With reference to the captioned subject and mentioned reference, we wish to inform you that a meeting of the Board of Directors of GACM Technologies Limited ("the Company") is scheduled to be held on Tuesday, January 7, 2025, inter alia, to consider the following:
- To consider the issue of Equity Shares by way of a Rights issue to the existing shareholders of the Company in accordance with the provision of the Companies Act, 2013 and the rules made thereunder, the Securities and Exchange Board of India (issue of Capital and Disclosure Requirements) Regulations, 2018, as amended and other applicable laws.
Further, we wish to inform that in pursuance of Securities and Exchange Board of India (Prohibition of Inside Trading) Regulations, 2015 and Company's Code of Conduct for Regulating, Monitoring, and Reporting of Trading by Insiders, the Trading Window for dealing in the shares of the Company shall remain closed for all Designated Person and their immediate relatives from the date of this letter, 30 December, 2024 till 48 hours from the conclusion of the Board Meeting.
