With reference to the captioned subject, we would like to inform you that the Company has Incorporated a wholly owned subsidiary of the company "GAYIADI FINTECH PRIVATE LIMITED (CIN: U72900TG2021PTC154414)" on August 27, 2021.

The details as required under SEBI Listing Regulations read with SEBI Circular No. CIR/CFO/CMD/4/2015 dated September 9, 2015 are as under:-

	companies have any Interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at "arm's length"	Limited. The initial subscription by the wholly-owned subsidiary mentioned above does not fall within related party transactions. The entity/person forming part of Promoter and Promoter Group of the Company are not interested in the aforesaid transaction except Mr. Jonna Venkata Tirupati Rao and Mrs. Shaik Haseena, common Directors of the promoter company i.e. GAYI ADI Holdings Private Limited (Formerly known as Gayi Adi Trends and Management Private Limited)
3.	Industry to which the entity being acquired belongs;	Fintech

Objects and effects of acquisition (including but not limited to, disclosure of reasons for acquisition of target entity, if its business is outside the main line of business of the listed entity);	The business of wholly owned subsidiary of the company would be in the field of Software designing, development, customization, implementation, maintenance, testing and benchmarking, developing, and dealing in computer software, solutions and business of dealing and maintenance of computer hardware.
5.	Brief details of any governmental or regulatory approvals required for the acquisition;	The Corporate Identification Number ('CIN') of the Company is U72900TG2021PTC154414, issued by Ministry of Corporate Affairs, Government of India.
6.	Indicative time period for completion of the acquisition;	Not applicable as the entity is incorporated on August 27, 2021.
7.	Nature of consideration - whether cash consideration or share swap and details of the same;	The subscription money of the equity shares would be paid in cash along with the money to be paid by the individual subscriber being nominee of the Company.
8.	Cost of acquisition or the price at which the shares are acquired;	The Company has subscribed to the equity shares of GAYIADI FINTECH PRIVATE LIMITED at the face value of Rs. 10 each at a total consideration of Rs. 15,00,000/-

Percentage of shareholding/ control acquired and/ or number of shares acquired;	GAYIADI FINTECH PRIVATE LIMITED is a wholly owned subsidiary of Stampede Capital Limited with an initial subscription of 1,50,000 Equity shares of Rs. 10/- each aggregating to Rs. 15,00,000/- (Rupees Fifteen Lakhs) resulting in the Company holding up to 100% of the Equity share capital of GAYIADI FINTECH PRIVATE LIMITED.
