Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On December 3, 2010, the Board of Trustees of The Gabelli Utility Trust (the “Fund”) amended and restated in its entirety the bylaws of the Fund (the “Amended and Restated Bylaws”). The Amended and Restated Bylaws were deemed effective December 3, 2010 and are attached hereto as Exhibit (3)(ii) and are incorporated herein by reference.
