COMPLETION OF DISPOSAL AND ACQUISITION

Reference is made to the Circular dated 8 July 2008 and the announcements of the Company dated 22 April 2008 and 20 May 2008.

The Board wishes to advise the Shareholders of the completion of disposal of shares of MPIL and acquisition of shares of SUNPEC.

Reference is made to the Circular dated 8 July 2008 and the announcement of the Company dated 22 April 2008 (the “ Announcement ”) and the announcement of the Company dated 20 May 2008 relating to the disposal of shares of MPIL and the acquisition of shares of SUNPEC. Unless otherwise defined, capitalised terms used in this announcement shall have the same meaning as those used in the Announcement.

Completion of Disposal and Acquisition

The Board is pleased to announce that on 7 August 2008 (the ‘‘Completion Date’’), as all of the conditions precedent to the Completion have been satisfied, completion of the Disposal and Acquisition took place. The Company has duly received the remaining portion of the cash consideration amounted to HK$50 million and 253,571,428 new shares of SUNPEC.
