This is in response to your email, seeking clarification with respect to Outcome of Board Meeting for approval of ESOP scheme at its board meeting held on August 12, 2021, we hereby clarify that:

1. Whether the scheme is in terms ofSEBI (SBEB) Regulations, 2014 (ifapplicable);

2. Total number of shares covered by these options;

966890 Equity Shares

3. Pricing formula;

The exercise price shall not be less than the face value and shall not be more than FMV of an equity share of the Company at the Lime of grant of option as delermined by Compensation committee from time to time and shall be in conformity with the applicable accounting policies, if any.

4. Brief details of significant terms;

1) The Board has decided to administer the Scheme through Direct Route by way of making fresh allotment of shares to the Employees.

2) the vesting period will be between 1 to 4 years.

3) Exercise period will be upto 3 years from the date of vesting.
