Sub: Intimation of Sale of two (2) Foreign Subsidiary Companies.

Dear Sirs,

In accordance with Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements} Regulations, 2015, we hereby inform you that the Company has entered into Share Transfer Agreement(s} dated 19th December 2021 with Liberty Worldwide FZE for transfer of entire ordinary shares being held by G R lnfraprojects Limited in its foreign subsidiaries namely GR Building and Construction Nigeria Limited ("GRBC"} & G R Infrastructure Limited, Nigeria ("GRIL(N}"}.

Therefore, upon completion of the aforesaid transfer, GRBC & GRIL(N} would cease to be subsidiaries of the Company.

Disclosure in terms of Regulation 30 of SEBI (LODR} Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated gth September 2015 is attached as Annexure I.
