(GENERGY, the Company, the Issuer) with itsregistered office in Warsaw informs that today the Company receivedinformation about signing the Agreements as part of the procedure:"FRAMEWORK AGREEMENT - Design and construction of gas connections withup to 10 m3 / h from the existing gas pipelines at Polska SpółkaGazownictwa.Sp.z o.o. Zakład Gazowniczy branch in Zabrze - divided into 4 lots ".Referencenumber: 2020 / W100 / WNP-028936. The Issuer informed about the expectedsigning of the Agreements in the Current Report No. 1/2021 of January 4,2021.TheAgreements concluded with PSG and the Issuer concern the followingareas: Area No. 21: the area of ​​operation of the Gas Plant in Tychy,including the city of Tychy, the commune of Kobiór; Area No. 23: thearea of ​​operation of the Gas Plant in Tychy, including theBieruńsko-Lędziński Poviat, Chełm Śląski commune.Thesubject of the contract is the implementation of tasks consisting in thedesign and construction of gas connections medium / cin / c withdiameters from DN 25 PE to DN 63 PE from the existing gas pipelinesrelated to the connection of new customers with gas consumption up to 10m3 / h in the area covered by the operation of Polska Spółka GazownictwaLtd Branch Zakład Gazowniczy in Zabrze Branch Zakład Gazowniczy inZabrze. The subject of the contract has been divided into Areas (partsof the Order). The subject of the contract is, in particular,comprehensive implementation of the gas connection, i.e. the performanceof tasks specified jointly: 1) preparation of simplified documentationor construction design for gas connection (section from the existing gaspipeline) 2) execution of construction and assembly works related to theexecution of the gas connection.Theframework agreement concluded between the parties will be valid for aperiod of 24 months from the date of its signing or until theremuneration due to the Issuer is exhausted. The tasks commissioned bythe Employer to the Contractor during the term of the Agreement will beperformed on the terms resulting from the Agreement, also after thedeadline.GENERGYwill be entitled to remuneration in the amount of at least: Area no. 21:area of ​​operation of the Gasworks in Tychy, including the city ofTychy, the commune of Kobiór - PLN 1,125,000.00 net; Area No. 23: thearea of ​​operation of the Gas Plant in Tychy, including the BieruńskoLędziński Poviat, Chełm Śląski commune - PLN 550,000.00 net; This amountwill be increased by the due tax on goods and services (VAT).Remuneration for the given Task will be paid once in the amount of 100%of the remuneration after the Ordering Party has made the finalacceptance. On the day of signing the final acceptance protocol withoutreservations, the Ordering Party bears the risk of loss or damage to theobject. If it is necessary to perform Additional Works or additionalservices at the stage of carrying out the Orders, the Issuer willprepare a valuation of the Works, and the Parties, through negotiations,will determine the conditions for the performance of the Works oradditional services, in particular the amount of remuneration for theirperformance - based on the quotation (cost estimate) presented forapproval.EachParty has the right to terminate the Agreement with a 2-month noticetermination, effective at the end of the calendar month.Theother detailed terms and conditions of the above agreements do notdiffer from those commonly used in this type of agreement.Legalbasis:Art.17 sec. 1 of the Regulation (EU) No 596/2014 of the European Parliamentand of the Council of 16 April 2014 on market abuse (market abuseregulation) and repealing Directive 2003/6 / EC of the EuropeanParliament and of the Council and Commission Directive 2003 / 124 / EC,2003/125 / EC and 2004/72 / EC (also known as MAR).
