Conclusion of aSubcontracting Framework Agreement with a related company.TheManagement Board of G-Energy S.A. with its registered office in Warsaw(hereinafter: the Issuer, G-Energy) announces to the public that todayit has received a signed Framework Subcontract between the Issuer andZPB Politerm private Limited company with headquarters in Katowice(Politerm) regarding the task: Comprehensive performance of worksrelated to the construction of connections for new customers along withthe expansion of gas. (excluding contracts below 10 nm3 / h for existinggas.) in the area of OZG's operations in Kraków Gasworks in Tarnów -area XV., about which G-Energy informed about the expected signing. ESPI9/2021 of April 1, 2021.Theimplementation of the Tasks consists, in particular, in thecomprehensive performance of works related to the construction ofconnections for new customers along with the expansion of gas.(excluding contracts below 10 nm3 / h from the existing gas) within thearea of​​operationwithin the territory of Polska Spółka Gazownictwa privateLimited company.Branch Zakład Gazowniczy in Kraków, area XV -Gasworks TARNÓW, on the execution of the Design and execution ofthe Works (execution of construction and assembly works, Connections,reconstruction and reconstruction of the pavement, execution of securitymeasures in connection with the collision with undergroundinfrastructure) and construction surveying services and as-builtinventory. The framework agreement concluded between the parties will bevalid for a period of 18 months from the date of its signing.Theparties undertook to cooperate in the implementation of the Agreement tothe extent enabling the effective performance of the obligations of eachof the Parties. Politerm and G-Energy have announced that they willcooperate on an exclusive basis, which does not preclude the Issuer fromoutsourcing certain tasks to external entities.Theremuneration due to G-Energy from Politerm for the implementation of theScope of Works by G-Energy will amount to PLN 6,000,000 (say: sixmillion zlotys) net. This amount will be increased by the due tax ongoods and services (VAT) in the amount of PLN 1,380,000 (in words: onemillion three hundred eighty thousand zlotys), this is PLN 7 380 000 (inwords: seven million three hundred eighty thousand zlotys) gross. In theevent of a change in the VAT rate in the tax regulations, made after theconclusion of the Agreement and applicable to it, the remuneration willbe increased or decreased by the amount resulting from the change in theVAT rate. The change in the VAT rate will apply to the non-invoiced partof the salary.Thisamount may be increased in the event of the performance of further tasksnot falling within the scope of this Agreement.Politermprovides for the possibility of granting the Issuer an advance paymentfor the performance of the Subject of the Agreement.Politermis entitled to demand the payment of contractual penalties, inparticular for delay in delivering the Subject of the Agreement on time,unless the Subcontractor is not responsible for not returning theSubject of the Agreement on time - in the amount of 0.2% of the netremuneration for each day of delay, however not more than 20% of thisamount due to delay in the delivery of the Agreement performanceschedule, unless the Contractor is not responsible for failure toperform this obligation on time - in the amount of 0.1% of the netremuneration for each day of delay, but not more than 15% of this amount, in the event of withdrawal from the Agreement by the Ordering Partyfor reasons attributable to the Issuer (regardless of the legal basis) -in the amount of 10% of the net remuneration.Inthe event of the occurrence, confirmed by the Investor, of circumstancesrelated to weather conditions or force majeure defined in particular bythe Coronavirus COVID-19 and fire hazard, the occurrence of which wouldprevent GENERGY from performing the Task, it will be permissible toconclude, at the request of the Issuer, an annex changing the date ofcompletion of the Object Contracts.Theremaining conditions for the performance of the Agreement do not differfrom those commonly used in this type of agreement.Legalbasis:Art.17 sec. 1 of the Regulation (EU) No 596/2014 of the European Parliamentand of the Council of 16 April 2014 on market abuse (market abuseregulation) and repealing Directive 2003/6 / EC of the EuropeanParliament and of the Council and Commission Directive 2003 / 124 / EC,2003/125 / EC and 2004/72 / EC (also known as MAR).
