Conclusion of aFramework Agreement with Polska Spółka Gazownictwa sp. z o.o.withits registered office in Tarnów, Gas Plant Branch in Krakow by aninterdependent company.

TheManagement Board of G-Energy S.A. with its registered office in Warsaw(GENERGY, the Issuer) publicly announces that today it received from thejoint venture ZPB Politerm Sp. z o.o. based in Katowice (Politerm),information from June 10, 2020 about the receipt of the signed FrameworkAgreement by Politerm - Comprehensive performance of works related tothe construction of connections for new customers along with thedevelopment of gas. (excluding contracts below 10 nm3 / h from existinggas.) in the area of ​​OZG operations in Krakow. Gas plant in Tarnów -area XV about expected signing of which GENERGY informed in the currentreport ESPI 21/2020 on May 17, 2020.Politermfor the implementation of the Subject of the Agreement will receive atotal remuneration not exceeding the amount of NET 7,700,000.00 (say:seven million seven hundred thousand zlotys). This amount will beincreased by the VAT due. The Agreement allows the performance of Tasksoutside the Gasworks indicated above, in the neighboring gasworks. Theprice of orders will then be increased by 10%.Thesubject of the contract is the comprehensive performance of worksrelated to the construction of connections for new customers along withthe development of gas. (excluding contracts below 10 nm3 / h fromexisting gas) in the area of ​​operation at the area of ​​operation ofPolska Spółka Gazownictwa sp.z o.o. Branch Gas Plant in Krakow, area XV- Gasworks TARNÓWTheframework agreement concluded between the parties will be valid for aperiod of 24 months from the date of its signature, with the provisothat: 1) within the indicated period, PSG has the right to place Orders,and Politerm is obliged to accept them, while the Parties agree that theduration of the Agreement will completion at the end of the workscarried out under all orders submitted, i.e. also after the date onwhich, according to the rule for calculating time limits expressed inmonths, resulting from the Civil Code, 18 months elapse from the date ofsigning the contract. 2) Upon reaching the maximum amount ofremuneration, PSG will not be entitled to submit further Orders.Politerm may entrust the performance of the Agreement in whole or inpart to third parties on the principles set out in art. 6471 of theCivil Code.Thedetailed conditions of the above Agreements do not differ from thosecommonly used in this type of agreements.CurrentlyPoliterm and GENERGY are negotiating a subcontract agreement in whichthe Issuer would act as a subcontractor in part of the task. The valueof the Subcontract Agreement as at the date of this report has not beendetermined, however, it has been tentatively established that theAgreement will cover approximately 50% of the executive works worthapproximately PLN 4,000,000 (four million zlotys).Legalbasis:Article17 para. 1 of Regulation (EU) No 596/2014 of the European Parliament andof the Council of 16 April 2014 on market abuse (Regulation on marketabuse) and repealing Directive 2003/6 / EC of the European Parliamentand of the Council and Commission Directive 2003 / 124 / EC, 2003/125 /EC and 2004/72 / EC (also called MAR).
