This is to inform that the Nomination and Remuneration Committee (the Committee) of the Company in its meeting held on today, has approved the following:-

1. Allotment of 7, 13,133 Equity Shares of ~ 2/- each to the eligible employee of the Company pursuant to exercise of Stock Options under Future Enterprises Limited Employee Stock Option Plan (FEL ESOP • 2012);

Upon allotment, the equity capital of the Company stand increased from 98,71,83,894/- (Rupees Ninety Eight Crore Seventy One Lakh Eighty Three Thousand Eight Hundred and Ninety Four) comprising of 45,42,17,268 (Forty Five Crore Forty Two Lakh Seventeen Thousand Two Hundred Sixty Eight) Equity Shares of~ 2/- (Rupees Two only) each and 3,93,74,679 (Three Crore Ninety Three Lakh Seventy Four Thousand Six Hundred Seventy Nine) Class B (Series 1) Shares of ~ 2/- (Rupees Two only) each to 98,86,10,160/- (Rupees Ninety Eight Crore Eighty Six Lakh Eighty Ten Thousand One Hundred Sixty only) divided into 45,49,30,401 (Forty Five Crore Forty Nine Lakh Thirty Thousand Four Hundred One) Equity Shares of ~ 2/- (Rupees Two only) each and 3,93,74,679 (Three Crore Ninety Three Lakh Seventy Four Thousand Six Hundred Seventy Nine) Class B (Series 1) Shares of 2/- (Rupees Two only) each.
