JOINT ANNOUNCEMENT

SUPPLEMENTAL ANNOUNCEMENT IN RELATION TO AGREEMENT IN RELATION TO THE SALE AND PURCHASE OF THE SALE SHARES IN FUTURE DATA GROUP LIMITED

Reference is made to the announcement (the “ R3.5 Announcement ”) jointly published by Variant Wealth Investment Development Limited and Gorgeous Real Investment Holding Limited (as the Joint Offerors) and Future Data Group Limited dated 13 September 2022 in relation to, among other things, the Sale and Purchase Agreement and the Offer pursuant to Rule 3.5 of the Takeovers Code. Unless otherwise defined, terms used herein shall have the same meanings as those set out in the R3.5 Announcement.

As disclosed in the R3.5 Announcement, Completion will take place on 23 September 2022, or such other date as agreed by the Joint Offerors and the Vendor. As additional time is required to compile the completion deliverables, Completion did not take place on 23 September 2022. The Joint Offerors and the Vendor have agreed that Completion shall take place on or before 28 September 2022.

The terms and conditions of the Sale and Purchase Agreement remain unchanged and continue to be in full force and effect.

As at the date of this joint announcement, the executive Directors are Mr. Suh Seung Hyun, Mr. Phung, Mr. Lee Seung Han, Mr. Ryoo Seong Ryul and Mr. GL Tao; and the independent non-executive Directors are Mr. Wong Sik Kei, Mr. Sum Chun Ho and Mr. Yung Kai Tai.
