SUPPLEMENTARY ANNOUNCEMENT IN RELATION TO THE ANNUAL RESULTS ANNOUNCEMENT AND THE ANNUAL REPORT FOR THE YEAR ENDED 31 DECEMBER 2020

Reference is made to the annual results announcement for the year ended 31 December 2020 (the “ 2020 Annual Results Announcement ”) and the annual report for the year ended 31 December 2020 (“ 2020 Annual Report ”) published by Future Data Group Limited (the “ Company ”) on 22 March 2021 and 31 March 2021 respectively.

The board (the “ Board ”) of directors (the “ Directors ”) of the Company together with its subsidiaries, (collectively refer to the “ Group ”) hereby provide the following supplementary information which is supplemental to the 2020 Annual Results Announcement and 2020 Annual Report and should be read in conjunction with the respective sections in the 2020 Annual Results Announcement and 2020 Annual Report. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as in the 2020 Annual Report and in the circulars dated 13 November 2020 and 25 January 2021.

Further Information on Significant Acquisitions and Disposals

As disclosed in the 2020 Annual Results Announcement and 2020 Annual Report, our wholly-owned Korean subsidiary, Global Telecom Company Limited (“ Global Telecom ”), purchased seventeen properties in Seoul on 14 May 2020 and subsequentially sold three properties to each of LeeHanNS Co., Ltd. and i-Cloud Co., Ltd. on 8 December 2020. As at the date of publication of 2020 Annual Results Announcement and 2020 Annual Report, the Group is continuously seeking potential buyers for the remaining eleven properties. Under the cross combating from pandemic viral and unstable geopolitical situation, commercial real estate market in Korea has not recovered and these remaining properties may not be sold at terms in our best interest in foreseeable future. Having said that in the circular dated 25 January 2021, since the properties are part of the government subsidised, the Directors consider that the prices of the properties will not have any downside risk.

In the event that any of the eleven properties are not disposed of prior to the payment date for the relevant Intermediate Payment(s) and/or the Remaining Balance, the Company intends to satisfy the Intermediate Payment(s) and the Remaining Balance by bank borrowing in Korea. As at 31 December 2020, Global Telecom obtained a banking facility amounting to KRW5,013,132,000 (equivalent to approximately HK$35.5 million) to satisfy relevant Intermediate Payment(s). At the meantime, the Group have healthy liquidity and adequate financial resources and, hence, is able to hold the properties until the global economic environment improved.
