GRANT OF WAIVER FROM STRICT COMPLIANCE WITH RULE 19.41(a) OF THE GEM LISTING RULES

Reference is made to the announcement of Future Data Group Limited (the “ Company ”) dated 8 December 2020 (the “ Announcement ”) in relation to, among other things, the LeeHan Disposals and the i-Cloud Disposals. Capitalised terms used herein shall have the same meanings as those defined in the Announcement, unless the context requires otherwise.

Pursuant to Rule 19.41(a) of the GEM Listing Rules, the Company is required to despatch a circular (the “ Circular ”) containing, among other things, (i) further information on each of the LeeHan Disposals and the i-Cloud Disposals; and (ii) the independent property valuation report on each of Properties A and Properties B within 15 business days after the publication of the Announcement, which is on or before 30 December 2020.

As additional time is required for the preparation of the relevant information to be included in the Circular, including the statement of indebtedness and statement of sufficiency of working capital of the Company, the Company has applied for, and the Stock Exchange has granted, the waiver from the strict compliance with Rule 19.41(a) of the GEM Listing Rules on the basis that the Company will despatch the Circular on or before 25 January 2021. The Stock Exchange may withdraw the waiver if the Company’s situation changes.

As at the date of this announcement, the executive directors of the Company are Mr. Suh Seung Hyun, Mr. Phung Nhuong Giang, Mr. Lee Seung Han and Mr. Ryoo Seong Ryul, and the independent non-executive directors of the Company are Mr. Wong Sik Kei, Mr. Sum Chun Ho and Mr. Yung Kai Tai.
