VOLUNTARY ANNOUNCEMENT

COMPLETION OF ACQUISITION OF MAXIMUS GROUP CONSULTING LIMITED

This announcement is made by Future Data Group Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) on a voluntary basis.

Reference is made to the announcement of the Company dated 2 April 2019 (the “ Announcement ”) in relation to the acquisition of approximately 64.86% of the entire issued share capital of Maximus Group Consulting Limited (the “ Acquisition ”). Unless the context otherwise requires, capitailised terms used in this announcement shall have the same meanings as those defined in the Announcement.

The board of directors (the “ Board ”) of the Company is pleased to announce that all conditions to closing set out in the Share Purchase and Subscription Agreement for the Acquisition have been satisfied and the Closing took place on 3 June 2019. Upon Closing, Maximus Group Consulting Limited and Maximus Consulting (Hong Kong) Limited have become indirect subsidiaries of the Company.
