APPOINTMENT OF INDEPENDENT FINANCIAL ADVISER

Reference is made to the joint announcement (the “ Joint Announcement ”) dated 13 September 2022 jointly issued by Future Data Group Limited (the “ Company ”), Variant Wealth Investment Development Limited and Gorgeous Real Investment Holding Limited (collectively, the “ Joint Offerors ”) in relation to, among other things, (i) the Sale and Purchase Agreement in relation to the sale and purchase of the 206,000,000 Sale Shares in the Company; and (ii) the Offer. Unless otherwise stated, terms used in this announcement shall have the same meanings as those defined in the Joint Announcement.

The Board hereby announces that Altus Capital Limited, a corporation licensed to carry out Type 4 (advising on securities), Type 6 (advising on corporate finance) and Type 9 (asset management) regulated activities under the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong), has been appointed by the Company as the Independent Financial Adviser to advise the Independent Board Committee and the Independent Shareholders in connection with the Offer and, in particular, as to whether the Offer is, or is not, fair and reasonable and as to the acceptance of the Offer. The appointment of Altus Capital Limited as the Independent Financial Adviser has been approved by the Independent Board Committee pursuant to Rule 2.1 of the Takeovers Code.

The letter of advice from Altus Capital Limited to the Independent Board Committee and the Independent Shareholders and the recommendation of the Independent Board Committee in respect of the Offer will be included in the Composite Document to be despatched jointly by the Company and the Joint Offerors to the Shareholders.
