COMPLETION OF ISSUE OF CONVERTIBLE NOTES UNDER GENERAL MANDATE

Reference is made to the announcement (the “ Announcement ”) of Future Data Group Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) dated 7 June 2024 in relation to the Subscription Agreement. Unless the context requires otherwise, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The Company is pleased to announce that all the Conditions Precedent have been fulfilled and the Company has on 17 June 2024 issued the Convertible Notes in the aggregate principal amount of HK$2,000,000 to the Subscriber. The net proceeds are currently intended to be used to fund the operation and business expansion of VAML after completion of the VAML Acquisition. In the event the VAML Acquisition does not materialized, the net proceeds will be used by the Company as general working capital of the Group.

The approval for the listing of, and the permission to deal in 4,000,000 Conversion Shares upon conversion of the Convertible Notes has been granted by the Listing Committee of the Stock Exchange.
