EXTENSION OF EXCLUSIVITY PERIOD FOR THE MEMORANDUM OF UNDERSTANDING IN RELATION TO A POTENTIAL TRANSACTION

Reference is made to the announcement of Future Data Group Limited (the “ Company ”) dated 28 April 2023 (the “ Announcement ”) relating to the potential subscription of Subscription Shares and the advancement of the Loan by the Company as contemplated under the MOU. Unless otherwise stated, capitalized terms used in this announcement shall have the same meanings as defined in the Announcement.

EXTENSION OF EXCLUSIVITY PERIOD UNDER THE MOU

Pursuant to the MOU, the Company has been offered an Exclusivity Period for a term of 60 days from the date of the MOU to conduct the due diligence review on the Potential Investee Group. As more time is required for the Company to carry out due diligence on the Potential Investee Group and negotiate on the Transaction Documents, the Parties have agreed in writing on 28 June 2023 (after trading hours) to extend the Exclusivity Period to 28 July 2023 (or such longer date as the Parties may agree in writing).

Save and except the aforesaid extension of Exclusivity Period, all other terms of the MOU remain unchanged.
