PROPOSED SHARE SUBDIVISION, CHANGE IN BOARD LOT SIZE AND NOTICE OF EXTRAORDINARY GENERAL MEETING

A notice convening the EGM of Future Bright Mining Holdings Limited to be held at Unit 3302, 33/F, Cable TV Tower, 9 Hoi Shing Road, Tsuen Wan, New Territories, Hong Kong on Thursday, 18 February, 2016 at 11:00 a.m., at which the above proposals will be considered, is set out on pages 11 to 12 of this circular. A form of proxy for use at the EGM is also enclosed. Such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (http:// www.hkexnews.hk) and Future Bright Mining Holdings Limited (http://www.futurebrightltd.com).

Whether or not you are able to attend the EGM, please complete and sign the enclosed form of proxy in accordance with the instructions printed thereon and return it to the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for the holding of the EGM or any adjournment thereof. DEFINITION

In this circular, the following terms and expressions shall have the following meanings, unless the context otherwise requires:

PROPOSED SHARE SUBDIVISION, CHANGE IN BOARD LOT SIZE AND NOTICE OF EXTRAORDINARY GENERAL MEETING

INTRODUCTION

Reference is made to the Announcement and the announcement dated 25 January, 2016 made by the Company in relation to the proposed Share Subdivision and Change in Board Lot Size.

LETTER FROM THE BOARD

The purpose of this circular is to provide you (i) further details of the proposed Share Subdivision and the Change in Board Lot Size to enable you to make an informed decision on whether to vote for or against the resolutions relating to the Share Subdivision and the Change in Board Lot Size at the EGM; and (ii) the notice of the EGM.

PROPOSED SHARE SUBDIVISION

Basis of the Share Subdivision

The Board proposes that each of the existing issued and unissued Shares will be subdivided into ten (10) Subdivided Shares. The Share Subdivision will become effective upon fulfillment of the conditions set out under the section headed “Conditions of Share Subdivision” below.

Conditions of Share Subdivision

The implementation of Share Subdivision is conditional upon:

  • (i) the passing of an ordinary resolution by the Shareholders at the EGM approving the Share Subdivision;

  • (ii) the Listing Committee of the Stock Exchange granting the listing of, and permission to deal in, the Subdivided Shares and any new Subdivided Shares which may be issued and allotted pursuant to options to be granted under the Share Option Scheme; and

  • (iii) compliance with the relevant legal procedures and requirements under the Listing Rules and the laws of the Cayman Islands to effect the Share Subdivision.

Assuming all the conditions are fulfilled, the Share Subdivision will become effective on the Business Day following the passing of the ordinary resolution at the EGM, which is expected to be held on Thursday, 18 February, 2016.

Effect of the Share Subdivision

As at the Latest Practicable Date, the authorised share capital of the Company is HK$80,000,000 divided into 8,000,000,000 Shares, of which 352,000,000 Shares are in issue and fully paid or credited as fully paid. Save as the Share Option Scheme, the Company has not adopted any other share option scheme as at the Latest Practicable Date. As at the Latest Practicable Date, 35,200,000 Shares, representing 10% of the Shares in issue may be granted under the Share Option Scheme and no option has been granted by the Company under the Share Option Scheme since its adoption to the Latest Practicable Date. As at the Latest Practicable Date, there are no outstanding options, warrants, conversion rights or other similar rights which are convertible or exchangeable into Shares.

Upon the Share Subdivision becoming effective, the authorised share capital of the Company will be HK$80,000,000 divided into 80,000,000,000 Subdivided Shares, of which 3,520,000,000 Subdivided Shares will be in issue and fully paid or credited as fully paid, assuming that no further Shares are repurchased or issued prior to the Share Subdivision becoming effective. In addition, upon the Share Subdivision becoming effective, the number of Subdivided Shares which may be issued and allotted pursuant to options to be granted under the Share Option Scheme will become 352,000,000 Subdivided Shares. Upon the Share Subdivision becoming effective, the Subdivided Shares will rank pari passu in all respects with each other. The Share Subdivision will not result in any change in the relevant rights of the Shareholders.

Save for the expenses incurred by the Company in implementing the Share Subdivision, the Share Subdivision will not alter the underlying assets, business operations, management or financial position of the Company or the proportional interests of the Shareholders. The Board considers that the Share Subdivision will not have any material adverse effect on the financial position of the Group.

LISTING AND DEALING

An application will be made by the Company to the Listing Committee of the Stock Exchange for the listing of, and the permission to deal in, the Subdivided Shares arising from the Share Subdivision and any new Subdivided Shares which may be issued and allotted pursuant to options to be granted under the Share Option Scheme.

Subject to the granting of the listing of, and permission to deal in, the Subdivided Shares and any new Subdivided Shares which may be issued and allotted pursuant to options to be granted under the Share Option Scheme on the Stock Exchange, the Subdivided Shares will be accepted as eligible securities by HKSCC for deposit, clearance and settlement in CCASS with effect from the commencement date of dealings in the Subdivided Shares on the Stock Exchange or, under contingent situation, such other date as determined by HKSCC. Settlement of transactions between participants of the Stock Exchange on any trading day is required to take place in CCASS on the second trading day thereafter. All activities under CCASS are subject to the General Rules of CCASS and CCASS Operational Procedures in effect from time to time.

No part of the securities of the Company is listed or dealt in on which listing or permission to deal in is being or is proposed to be sought on any other stock exchanges other than the Stock Exchange.

CHANGE IN BOARD LOT SIZE

As at the Latest Practicable Date, the Shares are traded on the Stock Exchange in board lots of 4,000 Shares each. The Board proposes to change the board lot size for trading from existing 4,000 Shares to 20,000 Subdivided Shares after the Share Subdivision becoming effective.

Based on the closing price of HK$2.99 per Share (equivalent to HK$0.299 per Subdivided Share) as at the Latest Practicable Date, the value of each board lot of 20,000 Subdivided Shares, assuming the Share Subdivision had already become effect, would be HK$5,980.

Dealing in the Subdivided Shares on the Stock Exchange in the new board lot size of 20,000 Subdivided Shares is expected to commence at 9:00 a.m. on Friday, 19 February, 2016.

ODD LOT ARRANGEMENT

The Share Subdivision and the Change in Board Lot Size will not be expected to result in any odd lots other than those already exist. No odd lot arrangement to match the sales and purchase of odd lots will be made.

EXCHANGE OF SHARE CERTIFICATES

Subject to the Share Subdivision becoming effective, which is expected to be on Friday, 19 February, 2016, Shareholders may, during the period from Friday, 19 February, 2016 to Thursday, 31 March, 2016 (both days inclusive) between 9:00 a.m. and 4:30 p.m. on any Business Day, submit share certificates for the existing Shares in green colour to the Company’s branch share registrar and transfer office in Hong Kong, Computershare Hong Kong Investor Services Limited at Shops 1712-1716, 17/F, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong, to exchange, at the expense of the Company, for new share certificates of the Subdivided Shares in pink colour. After the expiry of such period, each share certificate for the existing Shares will be accepted for exchange only on payment of a fee of HK$2.50 (or such higher amount as may from time to time be specified by the Stock Exchange) for each new share certificate issued for the Subdivided Shares or each share certificate for the existing Shares submitted for cancellation, whichever the number of certificates issued or cancelled is higher.

The existing share certificates for the Shares will only be valid for delivery, trading and settlement purposes for the period up to 4:00 p.m. on Thursday, 24 March, 2016 and thereafter will not be accepted for delivery, trading and settlement purposes. However, the existing share certificates for the Shares will continue to be good evidence of title to the Subdivided Shares on the basis of one Share for ten (10) Subdivided Shares.

It is expected that the new share certificates for the Subdivided Shares will be available for collection within a period of ten (10) Business Days after the submission of the existing share certificates for the Shares to the Company’s branch share registrar for exchange. The new share certificates for the Subdivided Shares will be in pink so as to be distinguished from the existing shares certificates for the Shares which are in green.

TRADING ARRANGEMENT

Subject to the Share Subdivision being effective, dealings in the Subdivided Shares are expected to commence on Friday, 19 February, 2016. Parallel trading in the Shares and Subdivided Shares (in the form of existing share certificates and new share certificates) will be operated from Friday, 4 March, 2016 to Thursday, 24 March, 2016 (both days inclusive). Full details of the expected timetable and trading arrangement of the Subdivided Shares are set out on pages 3 to 4 of this circular.

REASONS FOR THE PROPOSED SHARE SUBDIVISION AND CHANGE IN BOARD LOT SIZE

During the past three months, namely from 15 October, 2015 to 15 January, 2016 (being the date of the Announcement), the market price per Share was ranged from HK$2.27 to HK$3.85. The aforementioned 3-month period was selected because it is considered that such period is of reasonable length in reflecting the most recent price trend of the Shares. With the board lot size of 4,000 Shares, the market value per board lot of Shares was ranged from HK$9,080 to HK$15,400 which the Board considers that it has become quite high to the potential investors. Upon numerous informal requests from the Shareholders and potential investors recently, the Board takes the view that the proposed Share Subdivision and the Change in Board Lot Size are necessary at this moment in response to such requests.

The Share Subdivision will decrease the nominal value of each Share and increase the total number of Shares in issue. As a result, the Share Subdivision is expected to result in downward adjustment to the trading price of each Share and the market value per board lot of Shares. The Board believes that the Share Subdivision will decrease the nominal value of each Share and increase the total number of Shares in issue, thereby increasing the liquidity in the trading of the Shares.

In addition, the Change in Board Lot Size will reduce the minimum purchase price of each board lot of Shares. Based on the closing price of the Shares as at the Latest Practicable Date, the current market value per board lot of Shares is HK$11,960. The Change in Board Lot Size to 20,000 Subdivided Shares, together with the Share Subdivision, will reduce the minimum purchase price of each board lot to HK$5,980 (calculated based on the closing price of the Shares as at the Latest Practicable Date and adjusted for the effect of the Share Subdivision).

The Board has considered other different ratios for the Share Subdivision but believes that 1:10 is more appropriate as no additional odd lots is expected to be created upon the Share Subdivision taking effect. It is the opinion of the Board that the Share Subdivision and the Change in Board Lot Size are fair and reasonable and in the interests of the Company and the Shareholders as a whole.

Save for the expenses incurred by the Company in implementing the Share Subdivision, the Share Subdivision will not alter the underlying assets, business operations, management or financial position of the Company or the proportional interests of the Shareholders. The Board considers that the Share Subdivision and the Change in Board Lot Size will not have any material adverse effect on the financial position of the Group.

EGM AND PROXY ARRANGEMENT

The EGM will be held at 11:00 a.m. on Thursday, 18 February, 2016 at Unit 3302, 33/F, Cable TV Tower, 9 Hoi Shing Road, Tsuen Wan, New Territories, Hong Kong for the purpose of considering and, if thought fit, approving the proposed Share Subdivision and Change in Board Lot Size. The notice convening the EGM is set out on pages 11 to 12 of this circular.

As no Shareholders have a material interest in the Share Subdivision and Change in Board Lot Size, which is different from that of the other Shareholders, no Shareholders will be required to abstain from voting on the resolution to be proposed at the EGM.

Pursuant to Rule 13.39(4) of the Listing Rules, any vote of shareholders at a general meeting must be taken by poll except where the chairman decides to allow a resolution relating to a procedural or administrative matter to be voted on by a show of hands pursuant to the Listing Rules. An announcement on the poll vote results will be published by the Company after the EGM in the manner prescribed under the Listing Rules.

A form of proxy for use at the EGM is enclosed with this circular and such form of proxy is also published on the websites of Hong Kong Exchanges and Clearing Limited (http://www. hkexnews.hk) and the Company (http://www.futurebrightltd.com). To be valid, the form of proxy must be completed and signed in accordance with the instructions printed thereon and deposited, together with the power of attorney or other authority (if any) under which it is signed or a certified copy of that power of attorney or authority at the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong as soon as possible but in any event not less than 48 hours before the time appointed for holding the EGM or any adjournment thereof. Completion and delivery of the form of proxy will not preclude you from attending and voting at the EGM if you so wish and in such event, the instrument appointing the proxy shall be deemed to have revoked.

RECOMMENDATION

The Directors consider that the implementation of the Share Subdivision together with the Change in Board Lot Size is in the best interests of the Company and the Shareholders as a whole.

Accordingly, the Directors recommend the Shareholders to vote in favour of the resolution to be proposed at the EGM to approve the Share Subdivision and the Change in Board Lot Size.

NOTICE OF EXTRAORDINARY GENERAL MEETING

NOTICE IS HEREBY GIVEN that an extraordinary general meeting (the “ EGM ”) of Future Bright Mining Holdings Limited (the “ Company ”) will be held at Unit 3302, 33/F, Cable TV Tower, 9 Hoi Shing Road, Tsuen Wan, New Territories, Hong Kong on Thursday, 18 February, 2016 at 11:00 a.m. for the following purposes:

ORDINARY RESOLUTION

It is resolved as an ordinary resolution:

“THAT subject to and conditional upon the Listing Committee of the Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) granting the listing of, and permission to deal in, the Subdivided Shares (as hereafter defined) and any new Subdivided Shares which may be issued and allotted pursuant to options to be granted under the share option scheme conditionally approved and adopted by the Company on 8 December 2014:

  • (a) each of the issued and unissued ordinary shares of par value of HK$0.01 each (the “ Shares ”) in the share capital of the Company be and is hereby subdivided into ten (10) ordinary shares of par value of HK$0.001 each (the “ Subdivided Shares ”), with effect from the business day immediately following the date on which this resolution is passed, being a day on which the Stock Exchange is open for business of dealing in securities (the “ Share Subdivision ”);

  • (b) the board lot size for trading on the Stock Exchange be and is hereby changed from existing 4,000 Shares to 20,000 Subdivided Shares for each board lot upon the Share Subdivision becoming effective (the “ Change in Board Lot Size ”); and

  • (c) any director of the Company (“ Director ”) be and is hereby authorised for and on behalf of the Company to execute all such documents, instruments and agreements and to do all such acts or things deemed by the Director in his/her absolute discretion to be incidental to, ancillary to or in connection with the matters contemplated in and/ or for implementation of the Share Subdivision and the Change in Board Lot Size including but not limited to, to cancel any existing share certificates and to issue new share certificates in respect of the Subdivided Shares to holders of the existing shares of the Company pursuant to the Share Subdivision.”

NOTICE OF THE EGM

Notes:

  1. All resolutions at the meeting will be taken by poll (except where the chairman decides to allow a resolution relating to a procedural or administrative matter to be voted on by a show of hands) pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”). The results of the poll will be published on the websites of Hong Kong Exchanges and Clearing Limited and the Company in accordance with the Listing Rules.

  2. Any shareholder of the Company entitled to attend and vote at the above meeting is entitled to appoint more than one proxy to attend and on a poll, vote instead of him. A proxy need not be a shareholder of the Company. If more than one proxy is appointed, the number of shares in respect of which each such proxy so appointed must be specified in the relevant form of proxy. In the case of a poll, every shareholder present in person or by proxy shall be entitled to one vote for each share held by him.

  3. In order to be valid, the form of proxy together with the power of attorney or other authority, if any, under which it is signed or a certified copy of that power of attorney or authority, must be deposited at the Company’s branch share registrar in Hong Kong, Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong not less than 48 hours before the time appointed for the holding of the meeting or any adjournment thereof. Delivery of the form of proxy shall not preclude a shareholder of the Company from attending and voting in person at the meeting and, in such event, the instrument appointing a proxy shall be deemed to be revoked.

  4. In case of joint holders of shares, any one of such persons may vote at any meeting, either personally or by proxy, in respect of such share as if he were solely entitled thereto; but if more than one of such joint holders are present at any meeting personally or by proxy, the vote of the senior who tenders a vote, whether in person or by proxy, will be accepted to the exclusion of votes of the other joint holder(s) and for this purpose seniority will be determined by the order in which the names stand in the register of members of the Company.

As at the date of this notice, the Executive Directors of the Company are Mr.Zhou Tai Ping, Mr. Zhang Decong and Mr. Yuan Shan (alternate director to Mr. Zhang Decong); the non-executive Directors are Mr. Li Ethan Jing, Mr. Hu Jin Xiong and Mr.Leung Kar Fai; and the independent non-executive Directors are Mr. Lau Tai Chim, Mr. Sin Ka King and Mr. Chow Hiu Tung.
