Block Listing Application

Funding Circle Holdings plc ("Funding Circle") announces that an application will be made to the Financial Conduct Authority and the London Stock Exchange on or around 29 March 2019 for a total of 5,000,000 ordinary shares of 0.1 pence each ("shares") which may be issued in the six month period from 3 April to 3 October 2019.  This is in addition to the balance of its existing block listing of 7,514,464 shares.

The shares are expected to be admitted to the Official List and to be available for trading on the London Stock Exchange on 3 April 2019.

The shares will be reserved under a block listing in connection with the following share plans:

(i) the Funding Circle Holdings Limited EMI Option Scheme (2,952,131 shares); and (ii) the Funding Circle Holdings 2018 Long-Term Incentive Plan (2,047,869 shares). 

The shares will be issued from time to time on the exercise of vested options under the share plan in (i) above and will be issued to the Funding Circle employee benefit trust prior to the vest of awards under the plan in (ii) above.  When issued, the shares will rank pari passu with the existing ordinary shares.
