Sub: Approval of the Scheme of Amalgamation of Iluminar Media Limited (“Transferor Company”) with Nykaa Fashion Limited (“Transferee Company”), both wholly owned subsidiaries of FSN E-Commerce Ventures Limited, by Hon’ble National Company Law Tribunal, Mumbai (“NCLT”), vide its Order dated May 27, 2025

This has a reference to our earlier letter dated May 22, 2024, regarding intimation under the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, with regards to the Board’s approval for the proposed Scheme of Amalgamation (“ Scheme ”).

In this regard, we would like to inform you that the NCLT vide its Order dated May 27, 2025 (“ Order ”), has approved the aforesaid Scheme of Amalgamation. A copy of the Order is uploaded on the website of the NCLT as well as on the Company’s website at - https://www.nykaa.com/investor relations/lp

The Appointed Date of the Scheme is April 01, 2024.

Nykaa Receives NCLT Approval for Merger of Iluminar Media Limited (LBB) into Nykaa Fashion Limited, both wholly owned subsidiaries of FSN E- Commerce Ventures Limited

Mumbai, May 28, 2025: FSN E-Commerce Ventures Limited ( “Nykaa” ) has received approval from the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, for the Merger of Iluminar Media Limited (LBB) into Nykaa Fashion Limited on May 27, 2025, both wholly owned subsidiaries of FSN E-Commerce Ventures Limited.

The merger proposal was announced in the Company’s Q4 FY 2024 earnings in May 2024 and was subject to statutory and regulatory approvals, which have now been completed.

FSN E-Commerce Ventures Limited had acquired 100% stake LBB in August 2022. The lifestyle discovery and content platform LBB has a discerning and engaged user base, robust content creation expertise, and a strong curation mindset across all the lifestyle categories. Its content and consumer engagement capabilities complement Nykaa Fashion’s mission to be the destination for discovery, expression, and style.

This integration will consolidate Nykaa’s content creation and events business within a single entity, reinforcing the Group’s commitment to offering consumers highly relevant, inspiring, and engaging content-led experiences that deepen consumer connections across touchpoints. This will drive synergies in technology infrastructure, collaboration with brand partners as well as the content creation/marketing for all our businesses.
