Subject: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure – Requirements) Regulations, 2015 completion of transaction

We refer to our intimation dated August 13, 2024, wherein the Board of Directors of FSN E-Commerce Ventures Limited (‘Company’) had approved further acquisition of 39% stake in Dot & Key Wellness Private Limited from the Promoters/ existing shareholders as per the terms of the Shareholder Agreements dated September 19, 2021 and January 9, 2024 (“ Documents ”).

We wish to inform that on completion of all the necessary conditions as per the said Documents and the Share Purchase Agreement dated September 14, 2024, the acquisition of 39% equity shares of Dot & Key Wellness Private Limited, by the Company has been concluded on September 20, 2024.

Accordingly, the Company holds 90% equity shares of Dot & Key Wellness Private Limited effective September 20, 2024.
