Ref: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Sub: Update on the transaction for acquisition/increase in stake in Earth Rhythm Private Limited (“ERPL”)

We refer to our intimation dated August 13, 2024, wherein the Board of Directors of FSN E-Commerce Ventures Limited (‘Company’) had approved further investments in ERPL through Primary and Secondary rounds, in one or more tranches, resulting in ERPL becoming a Subsidiary of the Company.

We wish to inform that under the Share Subscription and Shareholders Agreement ( “SSHA” ) and Share Purchase Agreement (“SPA”) , both dated November 22, 2024, the Company has completed today the following transactions:

• 1. Subscription of 4,071 Series A Optionally Convertible Redeemable Preference Shares (Series A OCRPS) having face value of INR 10/- (Indian Rupees Ten) each of ERPL, as First Tranche, as mentioned in SSHA
• 1. Subscription of 12,226 (Twelve Thousand Two Hundred and Twenty-Six) Share Warrants of ERPL, as per terms of the SSHA
• 1. Secondary acquisition of 8,151 Seed Compulsorily Convertible Cumulative Preference Shares (Seed CCCPS) from certain existing shareholders of ERPL, as per terms of the SPA
• 1. Secondary acquisition of 3,952 Series A Compulsorily Convertible Cumulative Preference Shares (Series A CCCPS) from certain existing shareholders of ERPL, as per terms of the SPA
