Pursuant to the provisions of Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (‘SEBI Listing Regulations’), and based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company, at its Meeting held on Monday, February 13, 2023, has considered and approved the appointment of Mr. Sujeet Jain, Chief Legal and Regulatory Officer of the Company as Company Secretary & Compliance Officer and Key Managerial Personnel of the Company (KMP) w.e.f. February 14, 2023, in place of Mr. Rajendra Punde.

Mr. Rajendra Punde will cease to be Company Secretary & Compliance Officer and KMP of the Company w.e.f. close of business hours on February 13, 2023.

The requisite disclosure pertaining to Change in Key Managerial Personnel as required under Regulation 30 read with Para A of Schedule III of the SEBI Listing Regulations and SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015, is enclosed as Annexure - I .

His last stint was with UltraTech Cement, part of the Aditya Birla Group, serving as the Chief Legal Officer, where he led legal and regulatory matters and managed cross border transactions across multiple jurisdictions. Prior to that, he worked with Viacom18 Media as a Group General Counsel and Company Secretary. Earlier, he worked with People Group and Hutch (now Vodafone India) where he set up pan India legal operations. Mr. Jain is passionate about building teams, systems, and processes to enable organization growth and has been part of various industry and regulatory bodies such as IAMAI, CII, IBF, CMA, BCCC and BARC. Nykaa appoints Chief Legal and Regulatory Officer Sujeet Jain as Company Secretary & Compliance Officer and Key Managerial Personnel

Mumbai, 13th February 2023 : FSN E-Commerce Ventures Ltd (NYKAA) today announced its board’s approval to appoint Sujeet Jain as Company Secretary and Compliance Officer in addition to his role as Chief Legal and Regulatory Officer at Nykaa. With this expanded remit, Sujeet becomes a key managerial personnel (KMP) of the company w.e.f. February 14, 2023.

Sujeet joined Nykaa in January 2023 to further strengthen the company’s legal, regulatory and governance frameworks. Sujeet is a qualified lawyer, Company Secretary, Cost Accountant and an MBA holder, with over 25 years of experience in Telecom, Media & Technology (TMT), Cement and diversified sectors in leadership and senior management roles. He has led Legal, IPR, Regulatory, Compliance, Digital and Competition Laws, Corporate Governance and Company Secretarial functions in various organizations.

Prior to Nykaa, Sujeet was the Chief Legal Officer with UltraTech Cement, an Aditya Birla company. At UltraTech he led crucial legal and regulatory decisions, managed acquisitions and critical corporate transactions in India and overseas.

Before UltraTech, Sujeet was associated with Viacom18 Media as Group General Counsel and Company Secretary where he witnessed the company's multi-fold growth journey as one of the leading media organizations in India. He has also worked in the spaces of telecom (Vodafone Idea) and internet (shaadi.com) in the early part of his career. Sujeet has extensive regulatory experience and has been part of various industry and self-regulatory bodies such as IAMAI, CII, IBF, CMA, BCCC and BARC and has influenced significant policy shifts in the TMT sectors.

Rajendra Punde, who previously held this role, will continue to be associated with Nykaa as Senior Vice President-Legal and will support the transition and strengthening of the function.
